  • Client cooperation and timely feedback are required for successful delivery

2. CLIENT OBLIGATIONS

You Agree To:

  • Provide accurate and complete information
  • Respond to requests within agreed timeframes
  • Ensure proper system access and permissions
  • Comply with all applicable laws and regulations
  • Pay fees according to agreed payment terms

You Will Not:

  • Use our services for illegal or harmful purposes
  • Attempt to reverse engineer proprietary solutions
  • Share confidential information without authorization
  • Interfere with service operation or security

3. INTELLECTUAL PROPERTY

Our IP Rights:

  • Proprietary methodologies and frameworks remain our property
  • Pre-existing intellectual property is retained by us
  • General knowledge and experience gained remains ours

Your IP Rights:

  • You retain ownership of your business data and information
  • Custom solutions developed specifically for you become your property
  • We may retain anonymized data for service improvement

Third-Party IP:

  • We respect third-party intellectual property rights
  • You warrant that provided materials don’t infringe third-party rights
  • You indemnify us against IP infringement claims related to your materials

4. PAYMENT TERMS

Fees and Billing:

  • Fees are as specified in individual service agreements
  • Payment terms are typically Net 30 from invoice date
  • Late payments may incur 1.5% monthly interest charges
  • All fees are non-refundable except as specified in guarantees

Expenses:

  • Pre-approved expenses will be billed separately
  • Travel expenses (if required) are additional
  • Third-party software costs are passed through at cost

5. CONFIDENTIALITY

Mutual Obligations:

  • Both parties agree to protect confidential information
  • Confidentiality survives termination of services
  • Information may be disclosed if legally required

Exceptions:

  • Publicly available information
  • Information independently developed
  • Information received from third parties without restriction

6. WARRANTIES AND DISCLAIMERS

Our Warranties:

  • Services will be performed with professional skill and care
  • We warrant compliance with applicable laws
  • AI solutions will meet specified functional requirements

Disclaimers:

  • Services are provided “as is” beyond specified warranties
  • We don’t warrant specific business outcomes or results
  • AI technology limitations are inherent and acknowledged
  • No warranty for third-party integrations or platforms

7. LIMITATION OF LIABILITY

Liability Limits:

  • Our total liability is limited to fees paid for the specific service
  • We are not liable for indirect, consequential, or special damages
  • Liability limitations don’t apply to willful misconduct or gross negligence

Force Majeure:

  • Neither party is liable for delays due to circumstances beyond reasonable control
  • This includes natural disasters, government actions, or technical failures

8. INDEMNIFICATION

Client Indemnification: You agree to indemnify us against claims arising from:

  • Your use of our services in violation of these Terms
  • Infringement of third-party rights by your materials
  • Your violation of applicable laws or regulations

9. TERMINATION

Termination Rights:

  • Either party may terminate with 30 days written notice
  • Immediate termination for material breach (with 10-day cure period)
  • We may suspend services for non-payment

Effect of Termination:

  • Outstanding fees become immediately due
  • Confidentiality obligations survive termination
  • You receive deliverables for completed and paid work

10. DISPUTE RESOLUTION

Governing Law: These Terms are governed by the laws of [Your State/Country].

Dispute Process:

  1. Direct negotiation between parties
